Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Northstar Ventures LLC ("NomIQ," "we," "us," or "our") governing your use of the NomIQ mobile application and website (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using NomIQ, you represent that you meet this requirement and that the information you provide is accurate.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at hello@nomiq.app if you suspect unauthorized use.

3. Not medical advice

NomIQ helps you track food, macros, activity, and biomarkers, and offers AI-generated suggestions. This content is informational only. It is not medical, nutritional, or health advice, and it does not create a provider-patient relationship. Always consult a qualified healthcare professional before making changes to your diet, exercise, or medication — especially if you have a medical condition, are pregnant, or are taking medication. Never disregard professional advice because of something you read in the app.

4. AI features and accuracy

Some features use artificial intelligence to identify foods, estimate portions, and generate recommendations. These estimates may be inaccurate or incomplete. You are responsible for reviewing and confirming any logged data. We do not guarantee the accuracy of nutrition values, biomarker interpretations, or recommendations.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Reverse-engineer, copy, or resell any part of the Service.
• Attempt to gain unauthorized access to our systems or other users' data.
• Upload malicious code or interfere with the operation of the Service.
• Misrepresent your identity or impersonate others.

6. Your content

You retain ownership of the content you submit (meals, photos, lab data, etc.). You grant NomIQ a limited, non-exclusive license to process this content solely to provide the Service to you. You are responsible for ensuring you have the right to upload any content you submit.

7. Subscriptions and payments

NomIQ offers free features and may offer paid subscriptions ("Premium"). Paid subscriptions are billed through the Apple App Store or Google Play and are subject to their terms. Prices, billing cycles, and features will be disclosed at purchase. Subscriptions renew automatically unless cancelled through your app store account. Refunds are handled per the applicable app store's policies.

8. Intellectual property

The Service, including its software, design, logos, and content (excluding your content), is owned by Northstar Ventures LLC and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding.

9. Third-party services

The Service integrates with third parties such as Apple Health, Google Health Connect, and the USDA FoodData Central database. Your use of those services is governed by their own terms and policies, and we are not responsible for them.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any data will be accurate.

11. Limitation of liability

To the maximum extent permitted by law, Northstar Ventures LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or health outcomes, arising from your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim, or USD $100 if you paid nothing.

12. Indemnification

You agree to indemnify and hold harmless Northstar Ventures LLC from any claims, damages, or expenses arising out of your use of the Service or your violation of these Terms.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Provisions that by their nature should survive termination (e.g., disclaimers, limitation of liability) will survive.

14. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
